1. Terms and Conditions of Use

1. Acceptance of Terms
By subscribing to the services provided by Insight Decima S.A. de C.V. (hereinafter, "Decima") through our various platforms and applications, you (the “Client”) agree to be bound by the following terms and conditions.
2. Description of the Decima Ecosystem
Decima provides a modular infrastructure of business tools designed for operational modernization and data intelligence, including but not limited to:
- Digital and Physical Sales Channels: Ecommerce (Decima's web and mobile applications), Point of Sale (POS) systems, and user interfaces.
- Operational Management and Planning (ERP/WMS): Enterprise resource planning, inventory management, and warehouse management (WMS).
- Customer and Content Intelligence: Customer Relationship Management (CRM), Content Management System (CMS), and data analytics.
- Automation and Integration: Conversational AI, process automation, and third-party service integration.
- Security and Identity: Identity and Access Management (IAM) and user security controls.
- Fiscal Compliance (TAX): Electronic invoicing (DTE) and tax compliance according to current regulations.
- Infrastructure Services: Hosting, processing, and data backup in high-availability technological environments.
3. License of Use
Decima grants the Client a non-exclusive, non-transferable license to use the acquired options solely through the Decima Infrastructure. The license is limited to the number of users and active applications contracted. Upon expiration or termination, this license is immediately revoked.
4. Fees, Payments, and Renewal
- Excess Usage Fees: If the Client uses more users, platforms, or apps than contracted, they agree to pay additional fees based on the current price list for the remainder of the term.
- Additional Services and Monthly Fee Adjustment: Any request for new services, features, or integrations may modify the initially agreed monthly fee. Decima will provide a proposal to determine the new amount required to cover the additional maintenance, connection, and operational costs.
- Renewal and Rate Adjustment: The contract automatically renews unless written notice is provided 30 days in advance. Should a rate adjustment be necessary (up to 12% or the annual CPI, whichever is higher), Decima will provide prior notice to the Client to initiate a negotiation process. Any change in economic conditions must be formalized through a new agreement or amendment accepted by both parties.
5. Warranties and Limitation of Liability
- Business Decisions: Decima is a support tool. Decima is not responsible for financial, commercial, or tax decisions made by the Client based on data or responses generated by the system (including AI and ERP).
- Liability Cap: Decima's aggregate liability shall in no case exceed 50% of the total amount paid by the Client during the 12 months preceding the event.
- Exclusions: Decima shall not be liable for indirect damages, loss of revenue, or corrupted data.
6. Non-Solicitation of Personnel
Both parties agree not to solicit or offer employment to employees of the other party involved in the Services during the term of the Agreement and for 12 months thereafter. In case of breach, the infringing party shall pay a penalty equivalent to 150% of the gross annual remuneration the employee received at their original company.
7. Governing Law
This agreement is governed by the laws of the Republic of El Salvador.
